Welcome to ForLater.
These Terms of Service ("Terms") govern your access to and use of the ForLater mobile application, website, and related services (collectively, the "Service"), operated by 999 Online Inc. ("ForLater," "we," "our," or "us").
By downloading the app, creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.
Our Privacy Policy explains how we collect, use, store, and protect your personal information and is incorporated into these Terms by reference.
01 Our commitment
ForLater exists to help people preserve meaningful moments for the people they care about.
Whether you're recording a message for a future birthday, anniversary, graduation, wedding, new child, or simply sharing something important that shouldn't be forgotten, we believe those moments deserve to be treated with care, respect, and privacy.
Trust is essential to that mission.
We've written these Terms to clearly explain how the Service works, your responsibilities as a user, and our responsibilities as the provider. We also want to be transparent that ForLater is an evolving product. As technology improves and we learn from our community, we'll continue refining and expanding the Service.
02 Early Preview
ForLater is currently offered as an Early Preview.
During this period, all features currently available within the Service are provided at no cost.
Early Preview members play an important role in shaping the future of ForLater by sharing feedback and helping us improve the experience.
Because the Service is still evolving, you acknowledge that features, workflows, integrations, user interfaces, artificial intelligence capabilities, delivery methods, and other functionality may change, improve, be redesigned, or be discontinued over time.
As ForLater grows, we may introduce subscription plans, premium features, or additional services for new users.
Users who join ForLater during the Early Preview will continue to receive complimentary access to the Service. While we intend to recognize and reward Early Preview members with ongoing complimentary access, we reserve the right to determine how future plans, products, and features are structured. Nothing in these Terms guarantees that every feature or service introduced after the Early Preview period will be included within complimentary access.
Because this is an Early Preview, you also acknowledge that the Service may contain bugs, incomplete functionality, or unexpected behavior. We appreciate your patience and feedback as we continue improving the platform.
03 Eligibility
You must be at least thirteen (13) years old, or the minimum age required to use digital services in your jurisdiction, to create a ForLater account.
By using the Service, you represent and warrant that:
- You are legally capable of entering into a binding agreement.
- All information you provide is accurate, complete, and current.
- You will keep your account information reasonably up to date.
- You will use the Service only in compliance with these Terms and all applicable laws.
If you are using ForLater on behalf of another individual or organization, you represent that you have authority to bind that person or organization to these Terms.
04 Description of the Service
ForLater is a communications platform designed to help people preserve meaningful messages for future delivery.
Depending on the features available at the time of use, the Service may allow you to:
- Record video, audio, and written messages.
- Create messages for future dates and milestones ("Future Moments").
- Configure protected "Just in Case" delivery workflows.
- Designate one or more Trusted Contacts.
- Receive optional AI-powered coaching while creating messages.
- Organize recipients and delivery preferences.
- Securely store messages for future delivery.
- Deliver messages according to your instructions.
At launch, messages are delivered through secure email links. Recipients are not required to create a ForLater account to receive messages intended for them, although we may encourage recipients to join ForLater to improve their experience and make future communications easier.
As technology evolves, we may support additional delivery methods, communication channels, recipient experiences, and platform integrations.
ForLater is intended to facilitate personal communication.
ForLater is not a legal service, law firm, estate planning service, executor, fiduciary, trustee, financial advisor, medical provider, emergency notification service, or governmental authority. Nothing within the Service should be interpreted as legal, financial, medical, or estate planning advice.
05 User accounts
Certain features of the Service require you to create an account.
You may register using supported authentication providers, including Sign in with Apple, Sign in with Google, or other authentication methods we make available.
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- Restricting access to your account and devices.
- All activity occurring under your account.
- Promptly notifying us if you believe your account has been compromised.
- Keeping your account information current, including your email address.
You are responsible for safeguarding your password and any authentication credentials used to access the Service. We are not responsible for losses resulting from unauthorized access caused by your failure to adequately protect your account.
By creating an account, you agree that we may send you emails and other communications relating to your account and use of the Service, including security alerts, delivery confirmations, account notifications, legal notices, updates to these Terms, changes to our Privacy Policy, and other communications necessary to operate the Service. Where required by law, you will have the opportunity to manage optional communications separately from required service-related notices.
We reserve the right to suspend, restrict, or terminate accounts that violate these Terms, create security risks, interfere with the operation of the Service, or are used for fraudulent, unlawful, abusive, or otherwise harmful purposes.
06 Your content
You retain ownership of all videos, audio recordings, written messages, photographs, and other content you create or upload through ForLater ("User Content").
Nothing in these Terms transfers ownership of your User Content to ForLater.
However, by using the Service, you grant ForLater a limited, worldwide, non-exclusive, royalty-free license to host, encrypt, store, process, reproduce, transmit, and display your User Content solely for the purpose of operating, maintaining, securing, improving, and delivering the Service according to your instructions.
This license allows us to:
- Securely store your content.
- Synchronize content across your authorized devices.
- Deliver messages according to your configured preferences.
- Maintain backups designed to improve service reliability.
- Detect and investigate fraud, abuse, or security incidents.
- Comply with applicable legal obligations.
- Improve the reliability, security, and operation of the Service.
This license does not give ForLater ownership of your content, nor does it permit us to sell your personal messages or use them for advertising purposes.
You remain solely responsible for your User Content and for the consequences of creating, storing, or sharing it.
You represent and warrant that:
- You own your User Content or have all rights necessary to upload and share it.
- Your User Content does not violate any law or infringe another person's rights.
- You have obtained any permissions reasonably necessary from individuals whose personal information, voice, likeness, or other protected rights appear in your content.
If you voluntarily provide us with suggestions, ideas, feature requests, or other feedback regarding the Service ("Feedback"), you grant ForLater a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and otherwise exploit that Feedback without restriction or compensation to you. This helps us continue improving the Service for everyone.
07 Recipient information
When creating messages, you may designate recipients and, where applicable, Trusted Contacts.
You are responsible for ensuring that recipient names, email addresses, and other information you provide remain accurate and current.
By providing recipient information, you represent that you have the right to provide that information for purposes of operating the Service and delivering messages according to your instructions.
Recipients are not required to create a ForLater account to receive messages delivered through the Service.
You are also responsible for periodically reviewing and updating your recipient information as your relationships and circumstances change.
ForLater is not responsible for delivery failures caused by inaccurate, outdated, incomplete, inaccessible, or otherwise invalid recipient information.
Ultimately, only you know the people in your life and how you wish your messages to be delivered. While ForLater provides the tools to help carry out your intentions, you remain responsible for keeping your messages, recipients, Trusted Contacts, and delivery preferences current throughout your use of the Service.
08 Future delivery and "Just in Case"
ForLater is designed to help you preserve meaningful moments by delivering your messages according to the preferences you configure.
You are solely responsible for determining who should receive your messages, when they should be delivered, and keeping your delivery preferences current.
Depending on the type of message you create, delivery may occur on a future date ("Future Moments") or through ForLater's protected "Just in Case" workflow.
The "Just in Case" feature is intended to reduce the risk of unintended message delivery through a combination of periodic account check-ins, Trusted Contact communications, and internal review processes before protected messages are released.
These workflows are designed to assist in carrying out your delivery preferences. They are not intended to determine legal death, establish legal incapacity, administer an estate, execute a will, replace professional estate planning, or serve as legal proof of any life event.
You acknowledge that message delivery depends upon numerous factors beyond our reasonable control, including:
- The accuracy of recipient information;
- The availability and reliability of email providers;
- Internet connectivity;
- Third-party infrastructure;
- Security protections;
- User-configured delivery preferences;
- Timely account check-ins;
- Trusted Contact participation; and
- Other technical or operational factors.
While we are committed to making message delivery as reliable as reasonably possible, we cannot guarantee that every message will be delivered successfully, delivered at a specific date or time, or ultimately viewed by its intended recipient.
09 AI coaching
ForLater includes optional AI-powered coaching designed to help you organize your thoughts, overcome writer's block, and express yourself more clearly while creating messages.
These features are entirely optional.
AI coaching is intended to support your creativity—not replace your voice. Every message remains yours, and you are solely responsible for reviewing, editing, and approving all content before saving or sharing it.
Artificial intelligence systems may occasionally produce inaccurate, incomplete, outdated, biased, or inappropriate suggestions. You should always exercise your own judgment before relying on AI-generated content.
AI coaching should never be considered legal, financial, medical, psychological, or other professional advice.
To provide these features, ForLater may use trusted third-party artificial intelligence providers. We may improve, replace, or discontinue AI providers or features at any time as technology evolves.
10 Acceptable use
Our goal is to make ForLater a platform that people trust with some of the most meaningful messages they will ever create.
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Commit or facilitate fraud;
- Impersonate another person or organization;
- Upload malicious software or harmful code;
- Attempt to gain unauthorized access to accounts, systems, or data;
- Circumvent security measures or technical protections;
- Infringe another person's intellectual property, privacy, or publicity rights;
- Harass, threaten, exploit, stalk, intimidate, or abuse others;
- Create or distribute content involving child sexual abuse material, terrorism, human trafficking, or other unlawful material;
- Use the Service in any manner intended to cause harm to another person.
ForLater exists to help people preserve meaningful moments—not to judge lawful personal expression. We respect diverse viewpoints, cultures, beliefs, identities, relationships, and forms of self-expression.
However, if content or account activity becomes known to us and reasonably appears to violate these Terms, applicable law, or the safety of others, we reserve the right to investigate, restrict access, remove content, suspend or terminate accounts, and report unlawful activity to appropriate authorities where required or permitted by law.
Nothing in this section requires us to actively monitor user content. We reserve the right to take action when potential violations become known to us.
11 Account deletion
You may delete your account at any time directly in the app, under Account → Delete Account. If you are unable to access the app, you may also request deletion by contacting us.
Following an account deletion request, we may retain your account and associated information for up to thirty (30) days in order to:
- Allow recovery if the deletion request was submitted in error;
- Investigate fraud, abuse, or security incidents;
- Comply with legal obligations;
- Resolve disputes;
- Enforce these Terms; or
- Protect the integrity, reliability, and security of the Service.
After that period, we will delete or anonymize your personal information in accordance with our Privacy Policy unless we are legally required or permitted to retain certain information for a longer period.
Deletion of your account may permanently remove your messages, recipient information, Trusted Contacts, delivery preferences, and other associated content. Once deleted, this information may not be recoverable.
12 Intellectual property
Except for your User Content, the Service and all related software, technology, designs, workflows, graphics, trademarks, logos, text, interfaces, audiovisual materials, and other content made available by ForLater are owned by or licensed to 999 Online Inc. and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended personal purposes.
Unless expressly permitted by law or by us in writing, you may not:
- Copy or reproduce the Service;
- Modify, distribute, sublicense, lease, or commercially exploit any portion of the Service;
- Reverse engineer, decompile, or attempt to discover source code;
- Remove proprietary notices or branding;
- Use our trademarks, logos, or branding without prior written permission.
Nothing in these Terms transfers ownership of any intellectual property rights from ForLater to you.
13 Third-party services
To provide the Service, ForLater relies on trusted third-party providers for services such as authentication, cloud infrastructure, encrypted storage, artificial intelligence, email delivery, push notifications, analytics, crash reporting, customer support, security monitoring, and other operational functions.
As our platform evolves, we may replace existing providers or add new providers in order to improve the security, reliability, performance, or functionality of the Service.
Your use of certain third-party services may also be governed by those providers' own terms and privacy policies.
While we carefully select providers that we believe are reliable, we are not responsible for products or services that operate independently of ForLater or for interruptions, outages, delays, or failures caused by third-party providers beyond our reasonable control.
Some components of the Service may incorporate open-source software made available under applicable open-source licenses. Nothing in these Terms limits your rights under those licenses where they apply.
Apple App Store terms
If you obtain the app from the Apple App Store, these Terms are an agreement between you and ForLater, not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for the app or any claims relating to it, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer protection or similar laws. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
ForLater, not Apple, is solely responsible for providing any maintenance and support services for the app, and for addressing any claims relating to the app, including claims that the app or your use of it infringes a third party's intellectual property rights.
In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
14 Suspension and termination
You may stop using the Service and delete your account at any time.
We reserve the right to suspend, restrict, or terminate your account, with or without prior notice, if we reasonably believe that:
- You have violated these Terms;
- Your use of the Service creates legal, operational, or security risks;
- Your account has been used for fraudulent, abusive, deceptive, or unlawful purposes;
- We are required to do so by applicable law or legal process; or
- Continued access would negatively affect the Service, our users, or 999 Online Inc.
When appropriate, we may provide notice and an opportunity to resolve the issue before taking action. However, we reserve the right to act immediately when necessary to protect the safety, security, integrity, or lawful operation of the Service.
Termination does not affect rights or obligations that accrued before termination and does not affect provisions of these Terms that are intended to survive termination.
15 Changes to the Service
ForLater is an evolving platform.
As an Early Preview product, we expect the Service to grow significantly based on user feedback, technological advancements, and changing customer needs.
Accordingly, we may, at any time:
- Introduce new features;
- Improve existing functionality;
- Redesign workflows or user interfaces;
- Modify or expand AI capabilities;
- Add or replace integrations;
- Support new delivery methods;
- Replace third-party providers;
- Remove features that are no longer practical or beneficial; or
- Discontinue portions of the Service.
While we strive to provide advance notice of significant changes whenever practical, we are not obligated to maintain any specific feature or functionality indefinitely.
Nothing in these Terms guarantees the continued availability of any particular feature, workflow, integration, or capability.
16 Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORLATER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- The Service will always be available or operate without interruption;
- Messages will always be delivered successfully or at a specific time;
- Recipients will receive, access, or respond to messages;
- AI-generated coaching or suggestions will always be accurate, complete, or appropriate;
- Every defect or error will be corrected;
- The Service will always be compatible with your devices or third-party services; or
- The Service will always remain free from security vulnerabilities or technical failures.
Your use of the Service is at your own risk.
17 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 999 ONLINE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS.
THIS INCLUDES, WITHOUT LIMITATION:
- Delayed, failed, or unintended message delivery;
- User configuration errors;
- Recipient actions or inaction;
- Trusted Contact actions or inaction;
- Incorrect recipient information;
- Loss or corruption of data;
- Service interruptions or outages;
- Email delivery failures;
- Third-party infrastructure failures;
- Internet or network interruptions;
- AI-generated content or suggestions;
- Emotional distress;
- Lost business opportunities;
- Loss of goodwill; or
- Any other indirect or consequential damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) ONE HUNDRED U.S. DOLLARS (US$100); OR (b) THE TOTAL AMOUNT PAID BY YOU TO FORLATER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Because the Service is currently provided at no charge as part of the Early Preview, you acknowledge that these limitations represent a reasonable allocation of risk between you and ForLater.
Nothing in these Terms limits liability that cannot legally be limited under applicable law.
18 Indemnification
You agree to defend, indemnify, and hold harmless 999 Online Inc., its officers, directors, employees, contractors, affiliates, licensors, service providers, and agents from and against any claims, damages, liabilities, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your User Content;
- Your use or misuse of the Service;
- Your violation of these Terms;
- Your violation of applicable law;
- Your infringement of another person's intellectual property, privacy, publicity, or other rights; or
- Any dispute between you and a recipient, Trusted Contact, or other third party arising from your use of the Service.
We reserve the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, and you agree to cooperate with us in that defense.
19 Force majeure
ForLater will not be responsible for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, governmental actions, public health emergencies, internet outages, power failures, failures of cloud providers or telecommunications networks, cyberattacks, or other events that could not reasonably have been prevented.
20 Export compliance
You agree to comply with all applicable export control and economic sanctions laws and regulations.
You represent that you are not located in, ordinarily resident in, or subject to sanctions imposed by any jurisdiction where use of the Service would be prohibited under applicable law.
You may not use, export, or re-export the Service except as authorized by applicable law.
21 Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service, applicable laws, or our business practices.
If we make material changes, we will provide reasonable notice through the Service, by email, or by other appropriate means before the revised Terms become effective.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.
If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.
22 Governing law and dispute resolution
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, except where applicable law requires otherwise.
Arbitration will take place in Washoe County, Nevada, unless the parties agree otherwise or applicable law permits an alternative location.
You and ForLater each agree that disputes will be resolved on an individual basis and not as part of a class action, consolidated proceeding, or representative action to the fullest extent permitted by law.
Nothing in this section prevents either party from seeking temporary injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or the security of the Service.
If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law.
23 Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and ForLater regarding your use of the Service.
